Welcome to Reconcilely. These Terms and Conditions govern your use of the Reconcilely app and services, available through the Shopify App Store and at
https://app.reconcile.ly.
2. Acceptance of Terms
By installing or using Reconcilely, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, do not use Reconcilely.
3. Services and Features
Reconcilely offers synchronization services between Shopify and accounting systems, primarily focusing on order, payment, refund, contact, and inventory tracking for seamless import into Xero and QuickBooks. Features include creating sales and cost invoices based on the selected plan.
4. Free Trial and Billing
a. A 14-day free trial is offered to new users.
b. Billing is integrated with Shopify Billing.
c. Users can cancel any time by uninstalling the app.
5. Usage Limits and Service Pauses
a. Service will pause upon reaching the plan limit until an upgrade is made or the monthly limit resets.
b. Service will be suspended in the event payment for an active subscription is not received within 30 days of its due date.
c. Backdating of frozen invoices is allowed but should not be abused.
6. Prohibited Uses and Termination
a. Abuse of the product or support team may result in termination of access.
b. Prohibited uses include, but are not limited to, systematic exploitation of the backdating functionality.
7. Access and Installation
Access Reconcilely through the Shopify App Store or by visiting
https://app.reconcile.ly and following the on-screen instructions.
8. Modifications to Terms
We reserve the right to modify these Terms at any time. Your continued use of Reconcilely after such modifications will constitute acceptance.
9. Disclaimer of Warranties
Reconcilely is provided "as is" without warranties of any kind, either express or implied.
10. Limitation of Liability
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of Reconcilely.
11. Indemnification
You agree to indemnify and hold harmless Reconcilely and its affiliates from any claims arising from your use of the app.
12. Governing Law
These Terms shall be governed by the laws of the jurisdiction where Reconcilely is headquartered (Quebec, Canada).
